I. Definitions - back to top
A. Organiser: Means the French Market of Ireland also referred as FMI, we, our, ours and includes its subsidiary & holder.
B. Host: Means any Local Authority, any Festival Committee, any Shopping Centre or any private, public or corporate, formal or informal body which has considered the FMI to held a Market or Event at any location & any date within the European Union.
C. DM: Means the Duty Manager, function held by the FMI’s owner or his designated deputy.
D. Exhibitor: Means any Exhibitor, trader or corporate, of the French Market of Ireland bound by FMI’s Exhibitors Terms & Conditions (unless specified otherwise).
E. Service: Means a Market Turn-Key Solution [in Ireland to be considered as a French & Continental Market including 30 to 40% of Irish Exhibitors] & associated services.
F. Event: Means the association of the Service and of any animation organised directly or not by the Host at the date & in the vicinity of the Service place..
II. Conditions of Contract - back to top
The return of the Proposal / Contract Form, fully completed et dully signed by the Host will be deemed as a full acceptance of these terms.
Neither HOST nor the FMI shall be bound by any oral terms or statements not contained within the proposal / contract form.
Our core service is subject to a tacit renewal clause. See Paragraph VI.C for termination.
The organiser may assign, subcontract, novate or transfer any or all of its rights and obligations under these terms and conditions.
III. Parties' Main Obligation - back to top
At all time, all parties are due to supply truthful information in order to increase efficiency and accuracy and to save time.
VII. Intellectual Property & Confidentiality - back to top
1. Use of either our logotype, logographic, business name, press release, Trademark & Design (registered or not) or copyrighted material is prohibited without prior written authorisation from the FMI.
2. All ideas & concepts detailed in all correspondance have been developed exclusively by the FMI for the Host & are considered to be of a proprietary nature. They remains the property of the FMI. Unauthorised use of these ideas & concepts is strictly prohibited. The Host agrees that all documents, drawings & all other creative resources submitted by the FMI shall be returned upon request.
3. All documents between the Host & the FMI are deemed confidential. The Host agrees not to make any information, idea or cost available to neither any event management or production company, any other market organiser nor any Casual or Corporate Exhibitor without FMI’s written permission.
IX. Loss of business & Compensations
[...] 3. In the event of any breach of our Terms & Conditions, the Host agrees to compensate the FMI for any reasonable charge to date and in addition any loss of business & goodwill with a minimum of :

X. Limitations back to top
A. Limitation of Liability
Every service is provided by the Organiser «as is» without warranty of any kind, either express or implied, including but not limited to, the turnout of Exhibitors and/or footfall of visitors.
The Organiser accepts not liability for any loss or damage, which may result of insufficient turnout and / or footfall of visitors.
The FMI does not supply any advice but for site selection, street market design & market layout.
Any other advice or recommendation is deemed to be supplied by our sister business, A Inno Info [www.Ainno.Info] upon its own terms & conditions.
B. Limitation of Responsibility
The Organiser accepts no responsibility for any failure to fulfil its obligations arising from circumstances outside of its control. Such circumstances include, but are not restricted to, terrorist attack or incident, government regulation, regulatory action, accident, war, riot, natural disaster, explosion, fire, weather, strike, events affecting the operation of any event and / or supply of any service, infection or affection of the Organiser Website / Email correspondence by a virus, bugs, unauthorised human intervention or other causes, the corruption of the administration, security, fairness, integrity or operation of the Market organisation.
Neither the Organiser nor any other party involved shall be liable to any host for any cancellation, discontinuance or delay affecting the Market organisation due to any cause beyond its control.
The FMI shall not be responsible for injury or damage to person or property howsoever sustained arising from any goods under hire.
XI. Applicability of Terms - back to top
Accepting our service or using any items from paragraph VII.1, will be deemed as an acceptance of our full terms & conditions.
The return of the Event / Venue Assessment form, make the host bound by the sections of these terms & conditions shown on FMI’s website.
B. Version & Amendment
This is the version 3.4.1 of our Terms & Conditions, updated on 31st August 2013. The Organiser reserves the right to add, amend or alter these terms & conditions by issuing a 4-week notice of such changes by email & website publication.
C. Independence of Provisions
Would any provisions of these Terms being found unenforceable, it will not affect any other provision of these Terms which will remain in effect.
All rights granted to either of the parties shall be cumulative and no exercise by either of the parties of any right under this agreement shall restrict or prejudice the exercise of any other right granted by this agreement or otherwise available to it.
The failure by either party to enforce at any time or for any period any one or more of the terms or conditions of this agreement shall not be a waiver of them or of the right at any time subsequently to enforce all terms and conditions of this agreement.
E. Terms & Laws
In those terms & conditions, any mentioned limitation or exclusion shall apply to the maximum extent permitted by applicable law.
XII. Laws, Jurisdiction & Language Applicable - back to top
The Laws of the Republic of Ireland shall govern all contracts between the Organiser & the Host in all respect & the Host hereby submits to the exclusive jurisdiction of the Courts of the Republic of Ireland. English is the Official Language of all Contracts.
All contracts with the Organiser are deemed to be signed at its main place of business: Ballymagillan, Maynooth, Co Meath, in Trim Court Jurisdiction.
In the event of any translated document (such as issued by the Organiser for convenience), the original English version prevails. However, text & information given in any other language, & which is not the result of any translation from the English language, can be part of any written or verbal agreement. They shall need to be translated in the English language by a Certified body.
